NEW YORK--(BUSINESS WIRE)--May 13, 2019--
Altaba Inc. (“Altaba” or the “Fund”) (NASDAQ:AABA) today announced that
its special meeting of stockholders in connection with the proposed
liquidation and dissolution of the Fund will be held on Thursday, June
27, 2019 at 11:30 a.m. (Eastern time), at 50 Vanderbilt Avenue, New
York, New York 10017. At the special meeting, the Fund’s stockholders
will meet for the following purposes: (i) to consider and vote upon a
proposal to approve the voluntary liquidation and dissolution of the
Fund pursuant to the Fund’s previously announced Plan of Complete
Liquidation and Dissolution (the “Plan”) and (ii) to grant discretionary
authority to the Board of Directors of the Fund (the “Board”) to adjourn
the special meeting, even if a quorum is present, to solicit additional
proxies in the event that there are insufficient votes at the time of
the special meeting to approve the liquidation and dissolution of the
Fund pursuant to the Plan.
The Fund’s stockholders of record at the close of business on May 16,
2019 will be entitled to receive notice of, and to vote at, the special
meeting.
As previously announced on April 2, 2019, after carefully considering
the risks, timing, viability and potential impact on the Fund’s
stockholders of additional strategies potentially available to the Fund
to achieve its investment objective, as well as the recommendation of
management, and in consultation with the Fund’s advisors, the Board
unanimously determined that the liquidation and dissolution of the Fund
pursuant to the Plan is advisable and in the best interests of the Fund
and its stockholders, and approved the Plan.
